Terms of Service
These Terms of Service ("Terms") govern your access to and use of Suadela Engine (the "Service"), operated by Falco Labs L.L.C., a Wyoming limited liability company with registered address at 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("Falco Labs," "we," "us," "our").
By creating an account, installing the Service, or otherwise using it, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Suadela Engine is an autonomous page-optimization system. When installed on a web page, it reads the page content and visitor behavior, generates copy variants according to codified copywriting principles, deploys variants on the page, measures their performance, and consolidates the best-performing version. Full current functionality is described in the documentation at suadela.net.
We may add, modify, or remove features at our discretion. Material changes to core functionality will be announced at least 30 days in advance.
2. Account and eligibility
You must be at least 18 years old and have legal authority to enter this agreement on your own behalf or on behalf of the entity you represent. You are responsible for the accuracy of your account information, the confidentiality of your login credentials, and all activity under your account.
You may use the Service only on web properties you own or are authorized to modify. Installing the Service on a third-party property without authorization is a breach of these Terms.
3. Subscription and billing
The Service is offered on monthly recurring subscriptions. Current plans:
- Starter — $347 per month (€347 per month for customers billed in Euro)
- Pro — $797 per month (€797 per month for customers billed in Euro)
Prices are shown in United States Dollars (USD) on the English site and in Euro (EUR) on the Italian site. EU customers are billed in EUR at the stated EUR rate; other customers are billed in USD. Payment is processed via Stripe. By subscribing, you authorize Stripe to charge your payment method on each renewal.
Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. We do not pro-rate unused days of a cancelled billing period beyond the 14-day guarantee described below.
We reserve the right to change prices with 30 days' notice via email. Price changes do not apply retroactively to the current billing period.
3.1 Founding-Member Early-Access Pricing
During the pre-launch period, prospective customers may join a waitlist by submitting an email address at suadela.net. Joining the waitlist does not create a subscription, does not require a payment method, and incurs no charge.
At public launch, waitlist subscribers who complete checkout within the early-access window announced by email (the "Founding-Member window") receive Founding-Member pricing on the Starter or Pro plan. Founding-Member pricing is locked for the duration of a continuous, uninterrupted subscription on that plan. If the subscription is cancelled, downgraded, or lapses due to failed payment for more than 30 days, the Founding-Member price is forfeited; subsequent re-subscriptions are billed at the then-current public price.
Founding-Member pricing applies only to the plan purchased during the Founding-Member window. Upgrades to a higher plan are billed at the then-current price for the new plan. Founding-Member pricing is non-transferable and may not be sold, assigned, or applied to an account other than the one that completed the Founding-Member checkout. The Founding-Member window, plan names, and price levels will be specified in the launch email; Falco Labs reserves the right to modify or close the Founding-Member window at any time prior to launch.
4. Fourteen-day money-back guarantee
New subscribers are eligible for a full refund if they request cancellation within 14 days of the first charge. See the separate Refund Policy for the procedure.
5. Your grant of rights to us
By installing the Service script on a page you control, you grant Falco Labs a limited, non-exclusive, worldwide license, for the duration of your subscription, to:
- Read the content and structure of the page for diagnostic purposes.
- Collect visitor behavior data on that page (as described in the Privacy Policy).
- Generate, display, and swap copy variants on the page.
- Aggregate anonymized performance data across customers to improve the Service.
You may revoke this license at any time by uninstalling the script and cancelling your subscription.
6. Your content and responsibility
You retain all ownership rights in the original content of your page. You are solely responsible for:
- The legality of your product, offer, and page.
- Compliance with advertising regulations applicable to your jurisdiction and industry (including but not limited to the US Federal Trade Commission, the UK Advertising Standards Authority, AGCOM in Italy, and the EU Unfair Commercial Practices Directive).
- Ensuring that any copy the Service deploys on your page does not misrepresent your product, violate third-party rights, or breach regulation applicable to you.
You are the publisher of your page. You may configure constraints in your dashboard (banned claims, tone, mandatory disclaimers); we apply these on a best-effort basis and they do not constitute a compliance guarantee.
7. Copy variants generated by the Service
Copy variants produced by the Service on your behalf and deployed on your page become your property. You may reuse them elsewhere after your subscription ends.
Falco Labs retains the right to use aggregated, de-identified performance data from variants (for example, which categories of headline structures outperform on which traffic sources) to improve the Service's methodology and knowledge base. We do not share the specific text of your variants with other customers.
8. Acceptable use
You may not use the Service:
- For illegal products or services.
- For adult content, gambling, financial advice, pharmaceuticals, weapons, or other regulated categories, unless specifically authorized in writing.
- For pages that mislead, deceive, or commit fraud.
- On pages targeting children under 13.
- To reverse-engineer, circumvent usage limits, or probe our infrastructure.
- In any way that would expose Falco Labs to legal or regulatory liability.
We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.
9. Our intellectual property
The Service, including the Autonomous Persuasion Engine™, the underlying knowledge base, the engine logic, the brand ("Suadela," "Suadela Engine," "Falco Labs"), and all related software, remains the exclusive property of Falco Labs L.L.C. You receive only the limited, non-transferable license to use the Service described in these Terms. Nothing in these Terms transfers ownership of any intellectual property to you.
10. Availability
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance windows will be announced where feasible. Unplanned outages may occur.
We are not liable for business losses resulting from downtime. For outages exceeding 72 consecutive hours, we will credit affected accounts on a pro-rata basis upon request.
11. Disclaimers
The Service is provided "as is" and "as available." We make no specific guarantees about conversion-rate improvements. Actual performance depends on traffic quality, offer strength, market conditions, and factors outside our control.
To the maximum extent permitted by law, we disclaim all implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, Falco Labs' total cumulative liability under these Terms is limited to the fees you paid to Falco Labs in the 12 months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, consequential, special, or exemplary damages, nor for loss of profits, revenue, data, or goodwill.
13. Indemnification
You agree to defend, indemnify, and hold harmless Falco Labs and its officers, members, and agents from and against any claims, damages, or expenses (including reasonable attorney fees) arising out of (a) your use of the Service, (b) the content of your page or your offer, (c) your violation of these Terms, or (d) your violation of third-party rights or applicable law.
14. Termination
Either party may terminate the subscription at any time. On termination:
- Your access to the Service ends at the end of the current billing period (or earlier in the case of termination for breach).
- The license you granted us under Section 5 terminates.
- Sections 7, 9, 11, 12, 13, 15, and 16 survive termination.
We may terminate or suspend the Service immediately, with or without notice, for material breach of these Terms, for non-payment, or to comply with legal obligations.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration seated in Sheridan, Wyoming, under the Commercial Arbitration Rules of the American Arbitration Association, conducted in English. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, consumers resident in the European Union retain all mandatory rights under applicable consumer-protection law, including the right to bring claims before the courts of their country of residence.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced to customers at least 30 days before they take effect, via email to the address on file. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.
